A first potential investor has emerged in the restructuring process of The Italian Sea Group. SRI Global Limited, a holding company owned 52% by Giulio Gallazzi and 48% by Finvacchi, has today submitted to the Company’s Board of Directors and the Judicial Commissioners a non-binding expression of interest for the acquisition of the Group’s entire business.
The initiative involves the direct participation of Giulio Gallazzi, Chairman and Chief Executive Officer of SRI Global, and Bernardo Vacchi, through his investment holding company Finvacchi. During this initial phase of the transaction, the two investors are being advised by Angelo Bonissoni of CBA and MAIM Group.
According to SRI Global, the two groups together manage approximately €500 million in assets under management and have significant experience in the acquisition and management of industrial and financial investments, as well as in corporate restructuring, turnaround and business recovery operations.
The proposal outlined in the expression of interest aims to preserve the integrity of The Italian Sea Group, maintaining its decision-making centre and key strategic functions in Italy. The stated objectives also include ensuring business continuity at the Group’s existing production sites, safeguarding employment, the supply chain and the wider industrial network, while strengthening the company’s competitiveness through potential partnerships with Italian industrial operators.
The expression of interest is, however, purely preliminary and non-binding. Any further development of the transaction remains subject to the completion of due diligence and the subsequent negotiation and execution of definitive agreements.
At this stage, no financial details of the potential transaction or the expected timetable for reviewing the proposal have been disclosed. Nevertheless, the expression of interest represents the first formal step in a possible acquisition process and could mark the beginning of a new phase in the Group’s restructuring, pending the possible emergence of additional expressions of interest from other industrial or financial investors.
