HanseYachts announced compensatory subscription rights capital increase

The Management Board of HanseYachts AG (ISIN: DE000A0KF6M8, WKN: A0KF6M) today decided on the compensatory rights issue capital increase in the amount of up to EUR 713,794.00 by issuing up to 713,794 new shares, as announced in the ad hoc announcement dated 8 December 2022, and will present this to the Supervisory Board for approval in the afternoon.

In the context of this rights issue, shareholders shall be able to subscribe for new shares in the company against cash contributions at the same economic conditions as Aurelius Equity Opportunities SE & Co. KGaA ("AURELIUS") in the capital increases of 8 December 2022, in order to be able to compensate for the proportional dilution of their shareholding through the cash and non-cash capital increase. To make this possible, AURELIUS and HY Beteiligungs GmbH, a subsidiary of AURELIUS, have agreed to waive subscription rights in favour of the company's other shareholders as part of this compensatory cash capital increase. The subscription period for the new shares from the compensatory cash capital increase is expected to begin on 2 February 2023 and run until 16 February 2023. 

Under the compensatory cash capital increase, shareholders of the Company will have the opportunity to acquire 2 new shares at the subscription price for every 9 old shares. The subscription price for each new share is to be EUR 2.86; this corresponds to the amount at which AURELIUS also subscribed for the shares from the cash and non-cash capital increase of 8 December 2022. 

New shares not subscribed for through the exercise of subscription rights are to be offered for purchase to investors in a private placement after the end of the subscription period.

 The subscription offer, which will contain further details on the implementation of the compensatory cash capital increase, is expected to be published in the Bundesanzeiger (Federal Gazette) and on the company's website on 2 February 2023.
