Cantiere delle Marche: CLP2 becomes majority shareholder as ownership transition is completed
Cantiere delle Marche has finalized the redefinition of its shareholder structure, with control passing to CLP2, the investment vehicle backed by the Loro Piana families and Carisma, the family office of Giovanni Cagnoli. The transaction was completed through the acquisition of the final tranche of shares held by Fil Bros, the entity representing the interests of Tom Schroeder and his team.
The exit of Fil Bros marks the conclusion of a process that had been structured from the outset as a gradual consolidation of ownership. Under the new structure, CLP2 holds the majority stake, while Vasco Buonpensiere and Ennio Cecchini retain minority positions and continue to serve in executive roles within the company. This configuration is intended to ensure a close alignment between ownership and management, a factor considered central to the company’s strategic and operational continuity. The continued active involvement of the founders in governance is seen as one of the key elements underpinning CdM’s positioning in the explorer and displacement yacht segments.
The company also acknowledged the contribution of Fil Bros during its period as shareholder. The support provided to management and the operational autonomy granted are highlighted as factors that contributed to CdM’s growth and to the consolidation of its international reputation. With the shareholder structure now stabilized, CLP2 has confirmed its commitment to the four-year business plan already underway, which, according to the company, is progressing ahead of expectations across its main performance indicators. CdM enters this new phase with a full order book, a strengthened organization and a defined product vision, enabling the yard to continue along its established strategic path without disruption.
The transaction was advised by Poggi e Associati, with a team led by Emanuele Gnugnoli and including Tommaso Sacchi, Marella Lavarone and Massimo Castiglioni.
